MGM Resorts International Announces Proposed Private Offering By MGM China Holdings Limited

LAS VEGAS, April 30, 2019 /PRNewswire/ -- MGM Resorts International (NYSE:  MGM) (the "Company") today announced that MGM China Holdings Limited (the "Issuer"), a consolidated subsidiary of the Company, proposes to offer $1.25 billion in aggregate principal amount of senior notes in a private placement. The Issuer intends to use the net proceeds from the offering of the notes to repay amounts under its revolving credit facility and term loan facility and for general corporate purposes.

The notes proposed to be offered will not be and have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws, and may not be offered or sold in the United States or to any U.S. persons absent registration under the Securities Act, or pursuant to an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
